Welcome to Pro On Duty, Corp. These Terms and Conditions (“Terms”) govern your use of our website, services, and any related platforms operated by Pro On Duty, Corp (“we,” “us,” “our”). By accessing our website or using our services, you agree to comply with and be legally bound by these Terms, our Privacy Policy, and any additional service agreements you may enter into with us.

If you do not agree with any part of these Terms, you must refrain from using our website and services.

  • 1. Scope of Services

    Pro On Duty provides business communication and outsourcing solutions, including but not limited to:

    • 24/7 Answering Services
    • Virtual Receptionist Services
    • Customer Support
    • Call Center Operations
    • Message Handling
    • Appointment Scheduling
    • Multilingual Support
    • Outsourcing of specialized personnel (legal assistants, accountants, sales representatives, designers, marketers, IT support, and others).

    All services are subject to change, availability, and our internal service policies. We reserve the right to refuse or discontinue services at our discretion.

  • 2. Eligibility and User Responsibilities

    To use our services, you must:

    • Be at least 18 years old or have the legal capacity to enter into a binding agreement.
    • Provide accurate, current, and complete information during service registration.
    • Maintain confidentiality of your account credentials and activities conducted through your account.
    • Not use our services for unlawful or unauthorized purposes.
  • 3. Data Collection & Privacy (U.S. & GDPR Compliance)

    We collect and process user data in accordance with:

    • The California Consumer Privacy Act (CCPA)
    • The General Data Protection Regulation (GDPR) for users within the European Economic Area (EEA)
    • HIPAA (where applicable, under a signed Business Associate Agreement)
    • Other applicable U.S. federal and state data protection laws

  • 4. Payment, Billing & Refunds

    • All service fees are outlined in your individual Service Agreement or Quote.
    • Payments are due according to the agreed billing cycle.
    • Services may be suspended or terminated in the event of non-payment.
    • All payments are non-refundable unless explicitly stated otherwise in writing.
    • Cancellation Policy: Cancellations must be submitted in writing at least 30 days prior to the next billing date.
  • 5. Confidentiality

    Both parties agree to maintain confidentiality of all non-public, proprietary information, including client data, call content, transcripts, and business strategies. This obligation survives termination.

  • 6. Intellectual Property

    All content and materials provided by Pro On Duty are the intellectual property of Pro On Duty, Corp or its licensors. Unauthorized reproduction or reverse-engineering is prohibited.

  • 7. Service Limitations & Disclaimer

    Pro On Duty does not guarantee uninterrupted service and is not responsible for third-party failures or misuse of services by clients.

  • 8. Limitation of Liability

    Our total liability will not exceed the fees paid by the client within the last 3 months of service.

  • 9. Indemnification

    You agree to indemnify and hold harmless Pro On Duty, Corp against claims, liabilities, or damages arising from misuse of services or breach of these Terms.

  • 10. Termination and Suspension

    We may suspend or terminate your access at any time for breach of these Terms. Stored data may be deleted 30 days after termination unless otherwise agreed.

  • 11. Compliance with Laws

    You agree to comply with all applicable laws.

  • 12. Force Majeure

    We are not liable for delays caused by events outside of our control.

  • 13. Dispute Resolution

    Disputes will first be addressed through negotiation. If unresolved, disputes will be submitted to binding arbitration in Miami-Dade County, Florida, or through virtual arbitration in English for international clients.

  • 14. Governing Law

    These Terms are governed by the laws of the State of Florida, USA.

  • 15. Changes to These Terms

    We may update these Terms at any time. Continued use of our services after changes constitutes acceptance.
